Synopsis of Module
An introduction to Company Law, including: the characteristics of companies; the creation of companies; the management of companies; shares and capital; and insolvency.
Aims of Module
The module aims to:
| 1. | Enable students to develop an understanding of the principal concepts of Company Law and of the legal framework within which companies and the individuals involved with them currently operate |
| 2. | Explore the application of Company Law |
| 3. | Further develop skills of legal analysis and appraisal of legal concepts. |
Learning Outcomes
The student should be able to:
| • | explain the characteristics of the different types of companies |
| • | analyse the concepts and examine the practical significance of corporate personality and limited/unlimited liability |
| • | critically appraise how a company is managed and administered |
| • | demonstrate understanding of director's duties; shareholders rights and remedies; and the distinction between share capital and loan capital and be able to identify the rights attaching to each |
| • | examine the insolvency procedures which can apply to companies |
| • | apply relevant law to various factual scenarios. |
